Site Terms and Conditions

By accessing this site, you agree to the following terms and conditions and other applicable law. If you do not agree to be bound by these terms and conditions, please do not use this site. All the information and material provided on this web site is solely for illustrative purposes. It is not intended to and does not create any business, contractual or employment relationship with Black & Carver. All the information, contents, text, images, including but not limited to html code, photography and buttons is the property of Black & Carver and may not be copied, reproduced, republished, posted, transmitted, or distributed in any way without our expressed, advance, written consent.

All trademarks or external elements used or referred to within this site are the property of their respective owners. Information on this site is provided free of charge and for informational purposes. Links on this site may lead to services or sites not operated or affiliated with Black & Carver.

Client's Responsibilities Pertaining to Web Development

Copy/Text

The Client should supply final content text. If custom copy or editing is required, a separate estimate will be provided. Provided copy is expected to be free of spelling and gramatical errors.

Photography

The Client will supply photography. Photograpgy is expected to be high quality and supplied in high-resolution. If needed, Black & Carver can supply you with professional photography. An estimate will be provided.

Graphics/Branding

It is anticipated that Black & Carver will receive from the Client all graphic elements necessary to complete the Client's web site. This includes logo, brochure layouts, branding elements and photography. If missing or nonexistent, Black & Carver can supply these services to you. Estimates will be provided.

Project Workflow and Payment Terms

A minimum deposit of 34% of the total amount is required to begin work. For all monthly contract plans, payment muyst begin immediately in order for work to commence.

Design Phase

Once a deposit or payment is received by Black & Carver, a design concept will be provided to the Client within a reasonable timeframe. The Client will then be asked for a signed acceptance of the design concept. Once received from the Client, 33% of the total amount will be billed and the development phase will begin.

Development Phase

Black & Carver will be actively building the site. The Client will be provided scheduled updates and the ability to view progress online. We encourage the client to express concerns and communicate openly during this phase.

Launch

Black & Carver will review the site for quality assurance and to make sure all the Client's requirements as listed in the project scope are met. The Client will also be given a final opportunity to review the site before completion and launch.

Upon completion of the web site, an email will be sent to the Client advising the Client that the work has been completed. Final payment of the remaining 33% balance plus any additional charges incurred will be due within fifteen (15) business days of delivery or the go-live date.

Domain Names, Hosting and Control Panels

Every website on the internet needs a domain name (www.domainname.com) and hosting (a server to put the site on). This project will require hosting, a domain name and a control panel. The domain name will cost $13.99 per year and the hosting/control panel start at $34.99 per month.

Client Amends

Black & Carver prides itself in providing excellent customer service. That is the spirit of our agreement and the spirit of Black & Carver's business. To that end, we encourage input from the Client during the design process.

Terms

This estimate is complete and comprehensive based on discussions to date. Should the scope of the project exceed the estimate, the added work will be billed additionally and in accordance with established service rates. However, work beyond the scope of the original estimate will not be undertaken without the written approval of the client thereby authorizing the additional work in the form of a change order or revised proposal.

Third Party or Client Page Modification

Some Clients will desire to independently edit or update their web pages after completion of the site as a way to control costs and avoid the expense of a Maintenance Agreement. This is always an option for Clients of Black & Carver. Note however, that if anyone other than Black & Carver attempts to update the web site and damages the design or impairs the ability for the web pages to display or function properly, time to repair the web pages will be assessed at an hourly rate. There is a one hour minimum. In this regard, Clients are encouraged to obtain a Maintenance Agreement.

Copyrights and Trademarks

The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Black & Carver for inclusion in the Client's web site are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Black & Carver and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.

Design Credit

Client agrees that Black & Carver may put a byline on the bottom of their web site establishing design and development credit with an active html hyperlink to Black & Carver's website. Client also agrees that the web site created for the Client may be included in Black & Carver's online or offline portfolio and promotional materials.

Nondisclosure

Black & Carver, its employees and subcontractors agree that, except as directed by the Client, it will not at any time during or after the term of this Agreement disclose any Confidential Information to any person whatsoever. Likewise, the Client agrees that it will not convey any confidential information obtained about Black & Carver to another party.
